Terms of Service

1. Who provides the service

Teory is a service of Ismael Eduardo Gomez (MDS Digital), registered at Salita Foti, 5, 98060 Basicò (ME), Italia, VAT number IT03873120830 («Teory», «we», «us»). Write to contact@teory.ai and a person answers.

These terms are the contract between us and the business or professional who uses Teory («you», «the client»), and you accept them by creating your account; if you do so for a company, you declare you can bind it. An agreement signed with us governs where the two differ.

2. What Teory does

Teory is an AI agent that works your LinkedIn account: you describe what you offer and who you want to reach, and the agent:

• Searches for people on LinkedIn and Sales Navigator with your criteria, reads their profile, company and activity, and judges with AI who fits.
• Interacts with their latest post if it is from the last 30 days: the AI decides whether to comment or only react, and you can leave it at a reaction or at nothing.
• Invites them to connect, with a note by the AI or without one.
• Writes them the opening message and a follow-up, and answers what comes back. When asked about price, it answers with what your offer and your business say, without making up figures, and proposes the next step.
• Hands you the conversation when the contact raises something legal, asks about their data or not to be written to, asks something about you it does not know, points you at someone else or says yes with nothing set to send them; and it stops writing as soon as you write.
• If you turn a campaign’s email on and a contact asks for the information by email, sends it in an email by the AI with the campaign’s files, from your address and once per address: on its own, or once you review it.
• If you connect your CRM, writes into it whoever says yes to you: the person, their company, the email and phone they gave or LinkedIn shows, and a summary of the conversation.
• If you connect your Calendly, reads its bookings to know which come from your contacts.

The AI does not confirm dates, places, prices or terms you did not give it, nor promise in your name anything that very message does not do: committing is yours.

If asked whether it is an AI, it answers that it is the account’s holder and that they use AI services to automate part of the work.

3. Your account and your team

Your account opens with an invitation. You undertake to give accurate details, keep your password safe and answer for what is done from it and by the people you invite into your workspace.

You must be 18 or over. Teory is a professional service: you contract it for your business or profession, and if you nonetheless qualified as a consumer, you keep your rights as one (clause 12).

4. Your LinkedIn account: what you authorise us to do

When you connect or reconnect a LinkedIn account you press «Continue» — or «Reconnect» — under the line that links to these terms, and make this declaration, recorded with the version you accepted:

«This LinkedIn account is mine, or I have its holder’s permission to connect it. I authorise Teory to sign in and act on my behalf — searching, inviting, messaging and reading messages — and I understand that LinkedIn’s terms prohibit automation and that my account could be restricted or closed.»

If the account belongs to someone else, you also declare that their permission is express and that you have told them what the agent will do.

While the account is connected, you authorise us to:

• Sign in with your credentials in a remote browser you drive yourself, and store that session’s cookies, encrypted, to act later.
• Give it a fixed technical identity — a dedicated IP address, a browser fingerprint and identifier — shared with no one and unchanged, unless its address stops working for good: it then moves to another in the same country.
• Search for people, read profiles, posts and companies, react, comment and invite; and send, read and mark as read messages on LinkedIn and Sales Navigator, InMails included if your plan has them.
• Read your connections, invitations, inbox, profile and plan, and copy them into Teory.
• Read the contact info LinkedIn shows of whoever says yes to you — their email, phone and company website —, if you have a CRM connected.

Your password does not pass through us: you type it on linkedin.com inside the remote browser, and neither it nor your keystrokes, which travel encrypted, are ever stored or logged.

You revoke it whenever you like. With «Disconnect account» the agent stops acting with it and we delete its session — its cookies and the remote browser —; its IP address is kept for 7 days in case it comes back, always signing in again with its password, and then retired. If LinkedIn closes its session, we tell whoever uses it by email that day, with 3 days left and the day before; if nobody reconnects it within 7 days, we disconnect it, and its address is retired 7 days later. With «Remove from workspace» this happens at once, and the account comes back by connecting anew from another address in the same country. A retired address never goes to another account.

The agent only acts on your instructions: it writes to no one you did not tell it to, does not go past the account’s limits and does not work outside the campaign’s hours.

5. LinkedIn is not ours, and your account’s risk is yours

We are not LinkedIn: Teory is not affiliated with, authorised or sponsored by LinkedIn or Microsoft, nor does it use an official LinkedIn API; «LinkedIn» and «Sales Navigator» are trademarks of their owners.

LinkedIn’s terms prohibit automation, and using Teory may go against them: LinkedIn may limit, restrict or close your account without warning. That risk is yours: you declare you understand it when you connect the account, and you take it on.

To look after it we use a dedicated IP, a fixed browser fingerprint, daily and weekly limits, working hours, pauses between actions and a brake when LinkedIn responds badly. These are precautions, not a guarantee: we do not guarantee that your account will not be restricted.

We do not answer for what LinkedIn does with your account or for its changes, nor for the service working the same after one.

6. What you write, and what the AI writes for you

What you give the agent is yours and you answer for it — instructions, business, offer, who to look for, goals, files, searches and lists —, for it being lawful and accurate and for your right to use it.

What the AI writes with it goes out in your name and is your responsibility. It can get things wrong: that is why you can read everything that goes out, take over any conversation — and the agent stops writing in it — and pause or archive a campaign. We do not review messages before they go out, nor answer for what they say.

You give us only the licence needed to provide the service with your content, which we do not use to train models, sell or hand over. Teory’s software, brand and texts are ours, with a right for you to use them while the contract lasts; and we may freely use any idea you send us.

7. What Teory may not be used for

You may not use Teory for:

• Anything unlawful, or offering weapons, drugs, sexual content, predatory loans, scams or fraudulent investments.
• Mass messages unrelated to whoever receives them, or harassing, threatening or pressuring anyone.
• Impersonating others, or making false claims about yourself, your product, your prices or your clients.
• Processing special categories of data — health, origin, religion, beliefs, union membership, sexual orientation, genetic or biometric — or minors’ data.
• Writing to anyone who asked you not to, or to people whose data you obtained unlawfully.
• Connecting a LinkedIn account you have no right to use, or reselling access.
• Getting into what is not yours, getting around the limits, reverse-engineering, overloading the system or copying it to compete.

If you do any of these things, we may suspend the service or terminate the contract for it by an email saying so (article 1456 of the Italian Civil Code), without the refund in clause 11.

8. The data of the people you write to

You decide who is contacted and why: you are the controller of their data, and we are the processor, handling it only on your behalf and on your instructions.

How we process it is set out in the Data Processing Agreement, the annex to these terms: it is part of them, it is accepted with them and, if you ask, we give it to you signed.

Your part: a legal basis to write to them, informing them within the time limits of article 14(3) GDPR, handling their rights and respecting their objection. If someone asks not to be written to again, the agent stops writing to them and hands you the conversation, and they go on your workspace’s do-not-contact list: no campaign writes to them again until you take them off it. Whoever only says they are not interested is not written to again by any campaign in your workspace for the following 6 months; after that, Teory does not prevent it on its own.

To give support and to diagnose and fix faults, whoever operates the service may review the content of your workspace, and does not use it for anything else.

9. Your plan, the price and the service

There are no published prices: price, scope and term are what we agree in writing. Your plan — in Settings, under Plan — sets how many running campaigns, LinkedIn accounts, members and weekly invitations per account you can have, and your support: «Basic», by email, or «Priority», by email and WhatsApp; on either, we answer within 48 business hours.

We promise neither availability nor results: there may be outages, and what you get depends on your offer and your market; a figure on our site is an example. If we withdraw a feature that matters to you, we tell you by email when we withdraw it.

While the service is suspended — under clause 11 —, nothing goes out from your campaigns and the AI neither writes nor answers anyone, and no one can search, connect or reconnect accounts, invite or use the product’s AI; what people write to you waits for you in Conversations, and you can answer yourself. If the service is not reactivated within 7 days, we disconnect your LinkedIn accounts as if you had pressed «Disconnect account»: their sessions are deleted at that moment, and 7 days later we retire their addresses. A suspension does not delete your data. To reactivate it, write to us at contact@teory.ai.

10. Warranties and liability

The service is provided as is: to the extent the law allows, we do not guarantee that it will work without errors or suit a particular purpose.

To the extent the law allows, we do not answer for indirect damage, lost profits, lost opportunities, reputational harm or data loss not caused by a breach of ours, nor for what goes out from your account, nor for our providers’ failures; clause 5 covers LinkedIn. Our total liability in any period of 12 months does not exceed what you paid us in the 12 months before the event that gives rise to it.

None of this limits what the law does not allow to be limited: wilful misconduct, gross negligence, personal injury and consumer rights.

You will hold us harmless against third-party claims — from contacts, LinkedIn or a data protection authority — arising from your use of the service, your content or your breach of these terms or of the law, with reasonable defence costs; we will tell you by email within 7 days of receiving it and you may join the defence.

11. Term, leaving and deletion

The contract lasts as long as you have the account, with no minimum term, and either party can end it at any time, by email, without penalty and without giving reasons. If you end it, it ends with the period paid; if we end it so, with our email, and we refund the unused part of what you paid, pro rata, within the following 14 days.

Otherwise, what has been paid is not refunded, except for the days the service did not work for a reason of ours, verified against our records, if you ask within the following 30 days; a restriction or a change by LinkedIn, a campaign without replies or a use against clause 7 is no such reason. We refund those days within 14 days of your asking.

Without ending it, we only suspend the service if clause 7 is not kept to or, at once, over a security risk, non-payment or an order from an authority.

Deleting your account is asked for from Settings or by writing to contact@teory.ai. We review it and, within 14 days at most, we release the LinkedIn accounts you connected and delete their cookies. Your user and your personal data are deleted 30 days after you asked; until then you can cancel it, though accounts already released need reconnecting.

The workspace — campaigns, lists, contacts and conversations — does not go with your account, and what you delete inside the product stops showing but is kept with it. When the contract ends, the service is suspended and, within the following 30 days, we close it: we remove its LinkedIn accounts with «Remove from workspace» and delete it or, if you ask, return its data, except what the law obliges us to keep.

What these terms say about ownership, liability, confidentiality and the law still applies after the end.

12. Changes, law and the rest

If we change these terms, the new version applies from the moment it is published: if the change is relevant — what you pay, what you authorise or what you answer for —, we tell you by email that day, and minor ones show in the date above. Using the service afterwards is accepting the new version.

Italian law applies. Before going to court, the parties will try in good faith, for 30 days from when one asks the other in writing, to settle any dispute. Between businesses or professionals, the parties submit exclusively to the courts of Barcellona Pozzo di Gotto (Italy), waiving any other venue. If you are a consumer, you keep the courts where you live, your rights — withdrawal included where it applies — and the protection of the mandatory rules of the country you live in.

What one party entrusts to the other and is not public stays confidential. You may not assign this contract without our consent; we may, by an email telling you so, if the business is restructured or sold. An invalid clause leaves the rest standing, and not exercising a right is not waiving it.
